Request City Council to Approve Assignment and Assumption Agreements Between the City of Rialto, Fountainhead Consulting Corporation, and Milestone CM Consulting, LLC Assigning Rights and Obligations Related to: (1) Assignment to Milestone, CM Consulting, LLC of the On-Call Professional Services Agreement Dated April 12, 2022; and (2) Assignment to Milestone CM Consulting, LLC of the Professional Services Agreement Dated December 16, 2025, as Amended May 12, 2026; and (3) Authorize the City Manager or Their Designee to Execute all Related Documents.

RECOMMENDATION
Staff recommends that the City Council approve assignment and assumption agreements between the City of Rialto, Fountainhead Consulting Corporation, and Milestone CM Consulting, LLC assigning rights and obligations related to:
Assignment to Milestone CM Consulting, LLC of the on-call professional services agreement dated April 12, 2022;
Assignment to Milestone CM Consulting, LLC of the professional services agreement dated December 16, 2025, as amended May 12, 2026; and
Authorize the City Manager or their designee to execute all related documents.
BACKGROUND
The City currently has two separate agreements in place with Fountainhead Consulting Corporation (“Fountainhead”): an On-Call Professional Services Agreement (“On-Call PSA”) and a Professional Services Agreement (“PSA”).
On April 12, 2022, the City Council approved the On-Call PSA with Fountainhead for construction management, inspection, and materials testing services for an initial three-year term, with two one-year optional extensions.
On September 9, 2025, the City Council awarded a construction contract to C.P. Construction Co., Inc. in the amount of $29,107,522.20 for the Baseline Storm Drain Project, City Project No. 170700. As part of the same action, t...
